1. This order form (“Order Form”) is between the organisation specified by you (“you”) in signing up to these terms and DC Thomson & Company Limited (company registration number SC005830) with registered office at Courier Buildings, 2 Albert Square, Dundee, DD1 9QJ (“we” or “us”). By your acceptance of these Order Form terms and conditions, you agree to be bound by our E-FWD Membership Terms (“Membership Terms”) and all other terms and conditions referred to therein with respect to the services specified above (“Services”). By accepting these terms, you agree that you shall comply with (i) our Digital Hub Terms and Conditions; and (ii) our Acceptable Use Policy, all of which, together with the Membership Terms and our Privacy Policy (each as amended from time to time in accordance with the foregoing documents) constitute the agreement between you and us (“Contract”). If there is any conflict or ambiguity between the documents listed in this clause, the order of precedence shall be: (i) these Order Form terms and conditions; (ii) the Membership Terms; (iii) the Digital Hub Terms and Conditions; and (iv) the Acceptable Use Policy.
2. The parties are bound to the Order Form terms and conditions and the Contract formed thereunder. Unless stated otherwise, your right to access and use the Services shall begin on the date on which we process your order (“Effective Date”).
3. Membership Fees are stated exclusive of Value Added Tax or any applicable taxes or withholding taxes and shall be billed at the Billing Frequency specified on the Order Form. Membership Fees shall commence immediately following the date on which we process your order.
4. Membership Fees shall be payable by you to us on acceptance of these terms in British Pounds Sterling, free of deduction or counterclaim, by a payment method authorised by us. We reserve the right to suspend or withhold provision of the Services until payment in full is received in accordance with this Section 4.
5. Your subscription will automatically renew at the end of the Subscription Term for a period equal to the Subscription Term (“Automatic Renewal Term”). We shall notify you of any change in the Membership Fees at least 60 days before each Automatic Renewal Term starts. Either of us may cancel this automatic renewal in writing at least 30 days before an Automatic Renewal Period starts, in which case your membership and the agreement between us shall terminate at the end of the current Subscription Term.
6. You represent and warrant that your job title as provided at the time of signing up to these terms are correct as at the date of payment of the Membership Fees.
7. All notices shall be sent to your email address as specified on the Order Form.
8. These Order Form terms and conditions, and the Contract constituted by your acceptance hereof, represents the entire agreement between the parties with respect to the E-FWD services and product and supersedes any prior agreement, arrangement, representations or warranties whether made orally or in writing.
9. The parties to the Contract agree that the Contract is not intended to confer any rights on any third party, whether under the Contract (Third Party Rights) (Scotland) Act 2017 or otherwise.
10. These Order Form terms and conditions, and any dispute or claim arising out of or in connection with these Order Form terms and conditions will be governed by and construed in accordance with the laws of Scotland. Each party hereby consents to the exclusive jurisdiction of the Scottish Courts with respect to any disputes or proceedings arising in connection with these Order Form terms and conditions.
